What is Company Secretary

It is the role of the company secretary to ensure that an organisation complies with relevant legislation and regulation, and keeps board members informed of their legal responsibilities. Company secretaries are the company’s named representative on legal documents, and it is their responsibility to ensure that the company and its directors operate within the law. Compliance mistakes and omissions expose organisations to substantial penalties.

Qualification to become a Company Secretary

A company secretary must be licensed by the Companies Commission of Malaysia (CCM) and before known as Registrar of Companies ROC). Any person who contravenes this requirement shall be guilty of an offence against the Companies Act.

  Each year, your company is required to submit a return to Companies Commission of Malaysia that outlines details regarding your company.  We can help you by preparing this return and submitting it to Companies Commission of Malaysia on your behalf.  The cost for this service includes the fee charged by Companies Commission of Malaysia for submitting the return.

  Accounts completion and submission

  Each year, your company is requires to submit its accounts to Companies Commission of Malaysia and we can submit these accounts on your behalf.  We can also put you in touch with an accountant who will help you draft the accounts ready to be submitted.

  Agenda of first board meeting

  Following incorporation, the directors of the company will need to meet to discuss and agree a number of issues that will affect the running of the business.  Issues can include the appointment of bankers, auditors etc…  We can provide a template agenda for this first Board meeting for the customer to revise as appropriate.

  Agenda, paper and minutes of future meetings
